Terms of Service.

The contract between you and PlusAgents. We kept the legalese to the minimum the lawyers would allow, and added plain-English summaries where it helps.

1. Who we are and what you're agreeing to

These Terms of Service (the “Terms”) are a contract between you and PlusAgents (“PlusAgents”, “we”, “us”), the operator of plusagents.ai and the PlusAgents hosting service (the “Service”). By creating an account, deploying an agent, or otherwise using the Service, you agree to these Terms and to our Privacy Policy.

If you use the Service on behalf of a company or other organization, you confirm that you have the authority to bind that organization, and “you” means both you and the organization.

In shortUsing PlusAgents means you accept these Terms. If you don’t agree with them, please don’t use the Service.

2. The Service

PlusAgents deploys, hosts and operates open-source AI agent software, currently OpenClaw and Hermes Agent, in cloud instances that we manage for you. Depending on your plan, the Service includes compute resources, disk storage, monthly LLM credits, automatic software updates, monitoring, backups and a dashboard to manage your agent.

The Service hosts software; it does not supervise what your agent says or does. Your agent acts on your instructions and configuration, and you remain responsible for how you use it (see sections 7 and 11).

3. Your account

You need an account to use the Service. You agree to provide accurate information, keep your credentials secure, and notify us promptly at [email protected] if you suspect unauthorized access. You are responsible for all activity under your account.

You must be at least 16 years old to use the Service. If the law where you live requires a higher minimum age for entering contracts like these Terms, that higher age applies.

4. Plans, billing and cancellation

Paid plans are billed monthly, in advance, in US dollars, at the prices shown on our pricing page at the time you subscribe. Plans are per agent: each agent you deploy has its own plan, and you can run as many agents as you like. Subscriptions renew automatically each month until cancelled.

  • Upgrades take effect immediately and are prorated for the remainder of the billing month.
  • Downgrades and cancellations take effect at the end of the current billing month. You keep your plan’s features until then.
  • Refunds. Except where required by law, payments are non-refundable. If something went wrong on our side, contact us and we’ll make it right.
  • Price changes apply from your next billing month, and we’ll notify you at least 30 days in advance.

Payments are processed by our payment provider; we do not store your full card details. If a renewal payment fails, we may suspend your agent after a grace period and delete it as described in section 13.

5. The Free plan and fair use

The Free plan exists so you can genuinely try the Service, and even keep a light agent running at no cost. Free agents auto-sleep after 30 minutes of inactivity and wake when you message them.

Fair use applies to all plans: compute, disk and network resources are allocated per plan and may not be used for workloads unrelated to running your agent, such as cryptocurrency mining, proxy or VPN relays, bulk media hosting, or load testing. We may throttle or suspend workloads that abuse shared infrastructure.

6. LLM credits

Each plan includes a monthly allowance of LLM usage (“credits”) that your agent spends when it calls AI models. Credits reset each billing month and unused credits do not roll over. Paid plans can purchase additional top-up credits, which expire twelve months after purchase. Credits have no cash value and are not redeemable or refundable.

When your credits run out, AI responses pause until the next month, you top up, or you connect your own API keys. Usage on your own API keys is billed by your provider under their terms, not by us.

7. Acceptable use

You agree not to use the Service, or any agent hosted on it, to:

  • break the law, infringe intellectual property, or violate the privacy or rights of others;
  • send spam or unsolicited bulk messages, run scams, or impersonate people without disclosure that recipients are talking to an AI where the law requires it;
  • violate the terms of the chat platforms you connect (WhatsApp, Telegram, Discord, Slack and others) or of the AI model providers;
  • probe, scan or attack systems you do not own, distribute malware, or attempt to break out of your instance’s isolation;
  • generate or distribute child sexual abuse material, or content that incites violence or serious harm;
  • resell, sublicense or white-label the Service without our written agreement.

We may investigate suspected violations and suspend or terminate accounts that breach this section, immediately in serious cases.

In shortBe lawful, be honest, don’t abuse the platforms your agent connects to, and don’t use our servers to hurt anyone.

8. Your content and data

You own the content you and your agent create and store on the Service: conversations, files, configurations and outputs, to the extent you have rights in them (“Your Content”). You grant us a limited license to host, store, process, back up and transmit Your Content solely to operate, secure and improve the Service, and for no other purpose.

You can export Your Content from the dashboard at any time, and it is deleted when your agent or account is deleted, as described in our Privacy Policy.

9. Open-source software

OpenClaw and Hermes Agent are open-source projects developed by third parties (the OpenClaw Foundation and its community, and Nous Research, respectively) and are licensed to you under their own licenses, currently the MIT License. Those licenses, not these Terms, govern your rights in the agent software itself.

PlusAgents is an independent hosting service. We are not affiliated with, endorsed by, or sponsored by the OpenClaw Foundation or Nous Research, and their trademarks belong to their respective owners.

10. Third-party services

Your agent connects to services we do not control: chat platforms, AI model providers, websites it browses, and tools you configure. Those services have their own terms and availability, may change or block integrations at any time, and we are not responsible for them. If a platform restricts agent access, we will do our best to adapt, but we cannot guarantee any specific integration keeps working.

11. AI outputs

AI agents generate content automatically. Outputs can be inaccurate, incomplete, outdated or biased, and can misfire on actions (for example when browsing or sending messages). You are responsible for reviewing outputs before relying on them and for any actions you let your agent take on your behalf.

The Service does not provide medical, legal, financial or other professional advice, and agent outputs must not be treated as such.

In shortAgents are powerful and occasionally wrong. Keep a human in the loop for anything that matters.

12. Availability and changes to the Service

We work hard to keep agents running around the clock, with monitoring, automatic restarts and backups. Still, the Service is provided without an uptime guarantee: maintenance, upstream provider incidents and factors outside our control can cause downtime.

We may add, change or remove features, and may add or retire supported agents. If we discontinue the Service entirely or retire an agent you are running, we will give you at least 30 days’ notice and a way to export Your Content.

13. Suspension and termination

You can delete your agent or account at any time from the dashboard. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your usage creates security or legal risk for us or others. Where reasonable, we will notify you and give you a chance to fix the problem first.

After termination or non-payment, we keep your instance data for 30 days so you can export it or reactivate, then delete it permanently. Sections that by their nature should survive termination (including sections 8, 14, 15 and 16) survive.

14. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service or any agent will be uninterrupted, error-free or secure, or that outputs will be accurate or reliable.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, and nothing affects statutory consumer rights you may have where you live.

15. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if advised of the possibility. To the same extent, our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the twelve months before the event giving rise to the claim, and (b) fifty US dollars ($50).

You agree to indemnify us against third-party claims arising from Your Content or your breach of these Terms, to the extent permitted by law.

16. Governing law and disputes

These Terms are governed by the laws of Singapore, excluding its conflict-of-law rules, and the courts of Singapore have exclusive jurisdiction over disputes arising from these Terms or the Service, except where the law of your country of residence grants you mandatory consumer protections or a right to sue at home, which these Terms do not take away.

17. Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify you by email or in the dashboard at least 30 days before they take effect. If you keep using the Service after the effective date, the updated Terms apply. If you don’t agree with a change, cancel before it takes effect and we will refund any prepaid fees covering the period after your cancellation.
